Purpose of Position : To assist faculty members and other University research staff, represent the University in the development and negotiation of the resulting contracts, subcontracts or agreements with the sponsoring company or organization.

Essential Functions Negotiate with sponsors on behalf of the University, the terms of contracts, subcontracts and agreements. Interpret University and sponsor policies and procedures; review documentation of approved proposals, new awards, and modifications; apply University policy, state and federal regulations and laws as they relate to sponsored research contracts for compliance with University policies, federal and state law. Prepare responses/exceptions to and develop terms of new awards, and modifications with explanations for University policies, federal and state law. Review awards for subcontractor flow down and coordinate with subcontractors regarding objectionable terms (ie:intellectual property terms, indemnity, other issues). Outline risks associated with non-conforming clauses and other considerations that may be relevant for projects. Review awards for financial and compliance risks and outline risks to Associate Director where needed. Develop award agreements or requests for modifications as necessary, or requested. Work with faculty, staff and other colleagues to prepare approaches and responses to contract, project or proposal issues for submission to industry sponsoring companies and organizations. Personally meets with faculty and representatives of sponsoring companies and organizations, sometimes on-site, to discuss contract terms and conditions; follow up on negotiations of awards and modifications when responses have not been forthcoming from faculty or sponsors. Follow established processes to insure timely and accurate preparation of internal approvals and documentation associated with contract actions. Respond to, and resolve in a timely manner, inquiries and requests for information or assistance. Researches the issues, including the needs and/or interests of potential industry sponsors and offers more detailed reference information to faculty and staff members initiating industry contracts and other agreements. Develop award agreements or requests for modifications as requested. Timely enter and maintain data related to award and modification negotiations into database.

Required qualifications Bachelor's degree in business, legal studies, public administration, communications or a related field. Minimum seven years experience in the negotiation of complex non-procurement contracts and contract negotiations, including drafting language and subsequent negotiation. Minimum seven experience developing and negotiating intellectual property terms appropriate to sponsored research projects. Proficiency in analysis, interpretation and evaluation of complex contractual terminology. Ability to work independently. Individual who pays attention to detail, is accustomed to a fast paced environment with many deadlines, and who provides excellent customer service to a diverse community. Extensive experience with the use of MS Word software. Ideal candidate will work well with others and contribute positively to the office environment. Equivalent combination of relevant education and experience may be substituted as appropriate.

Preferred Qualifications Graduate or professional degree, or certification with an emphasis in contract/subcontract negotiation. Five or more years experience working in a University research administration environment. Five or more years of experience in the negotiation of industry sponsored research agreements. Knowledge of University intellectual property policy. Knowledge of state and federal contract regulations. Experience working in an industry setting negotiating sponsored research projects with large U.S. universities.
